Legal terms of services contract.
PLEASE READ THIS UNIVERSAL TERMS OF SERVICE AGREEMENT CAREFULLY AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND REMEDIES.

General Information.
This Universal Terms of Service Agreement (this “Agreement”) is entered into between «FORMA DESIGN STUDIO» («WE ARE FORMA or WEAREFORMA.NET») and you, and is effective from the date you use this Website (“Site”), payment of an invoice or that of electronic acceptance. This Agreement sets forth the general terms and conditions of your use of the Site and the products and services (individually and collectively, the “Services”), purchased or accessed through the Site. Additional Service Agreements and policies apply to certain services and are in addition to (but not in lieu of) this Agreement. In the event of a conflict between the provisions of a Service Agreement and the provisions of this Agreement, the provisions of the applicable Service Agreement shall prevail.

The terms “we”, “us” or “our” shall refer to FORMA DESIGN STUDIO. The terms “you”, “your”, “User” or “customer” shall refer to any person or entity that accepts this Agreement, accesses your account or uses the Services. Nothing in this Agreement shall be deemed to confer rights or benefits on any third party.

Modification of the contract, site or services.
FORMA DESIGN STUDIO may, in its sole discretion, change or modify this Agreement and any policies or agreements incorporated herein, at any time, and such changes or modifications will be effective immediately when posted on this Site. Your use of this Site or the Services for which such changes or modifications were made will constitute your acceptance of the latest revision of this Agreement. If you do not agree to be bound by this Agreement as last revised, do not use (or continue to use) this Site or the Services. In addition, from time to time, FORMA DESIGN STUDIO may or may not notify you of changes or modifications to this Agreement by email, Whatsapp or any other means. FORMA DESIGN STUDIO assumes no responsibility if you do not receive an email notification if such inconvenience is due to the email address you provided being incorrect. Additionally, FORMA DESIGN STUDIO may terminate your use of its Services for any violation or failure by you to comply with any of the terms of this Agreement. FORMA DESIGN STUDIO RESERVES THE RIGHT TO MODIFY, CHANGE OR DISCONTINUE ANY ASPECT OF THIS SITE OR THE SERVICES AT ANY TIME, INCLUDING, BUT NOT LIMITED TO, ITS PRICES AND RATES. TO THIS EFFECT, THERE IS NO PARTIAL OR TOTAL REFUND OF THE MONEY FOR THE SERVICES OR PRODUCTS THAT YOU PAID FOR.

Eligibility and powers.
This Site and the Services are available exclusively to persons (“Users”) who can form binding contracts under applicable law. By using this Site or the Services, you represent and warrant that (I) you are over eighteen (18) years of age, (II) you are capable of entering into legally binding contracts under applicable law, and (III) you do not have Purchasing or receiving the Services is prohibited under the laws of the United States, Panama, Colombia, Venezuela or other applicable jurisdiction. This is because many of our suppliers are based in the United States and the countries mentioned above.

If you are entering into this Agreement on behalf of a corporate entity, you represent and warrant that you have the legal authority to bind such corporate entity to the terms and conditions contained in this Agreement, in which case the terms “you”, “your”, “yours”, “User” or “customer” shall refer to such corporate entity. If, after your electronic acceptance of this Agreement, FORMA DESIGN STUDIO determines that you do not have the legal authority to bind such corporate entity, you will be personally responsible for the obligations contained in this Agreement, including, but not limited to, payment obligations. FORMA DESIGN STUDIO shall not be liable for any loss or damage resulting from FORMA DESIGN STUDIO’s reliance on any instruction, notice, document or communication which FORMA DESIGN STUDIO could reasonably have believed to be genuine and from an authorized representative of your corporate entity. If there is reasonable doubt as to the authenticity of any such instructions, notices, documents or communications, FORMA DESIGN STUDIO reserves the right (but assumes no obligation) to require additional authentication from you. You further agree to be bound by the terms of this Agreement for transactions recorded by you, anyone acting as your agent, and anyone who uses your account or the Services, whether or not authorized by you.

Protection of your data.
FORMA DESIGN STUDIO offers certain data hosting or storage Services that are available to you that may include the presentation, collection and/or use of personally identifiable information about you and your own customers (“Your Data”) during your use of of these Services (“Covered Services”). For the purposes of this Section, Your Data excludes any User Content. The purpose of the FORMA DESIGN STUDIO Data Processing Addendum (“DPA”), which is incorporated herein by reference and applies to Covered Services, is to provide you with contractual assurance that we have robust mechanisms in place to ensure that the transfer of Your Data , including transfers of Your Data from the EEA to Covered Services, comply with applicable data privacy laws.

For the purposes of the DPA and the Standard Contractual Clauses attached to the DPA (when and as applicable), you (and your applicable affiliates) are considered the Data Controller/Data Exporter, and your acceptance of the terms of service governing the Covered Services at the time of purchase of any Covered Service will also be treated as your acknowledgment and acceptance of the DPA and its appendices (including the Standard Contractual Clauses and its appendices, as applicable).

Media.
If you upload images to the website, you should avoid uploading images with embedded location data (EXIF GPS) included. Visitors to the website can download and extract any location data from images on the website.

All designs of any kind created by FORMA DESIGN STUDIO or third parties may be displayed in any of our portfolios, websites, social media, events, etc., that are owned by us or in which we participate. We are not obligated to request any type of permission to use any of the designs we create. We also respect the right of our clients and users who, if they prefer not to have their work shared on our website or across our different platforms, may contact us so that we can remove such content.

Cookies.
If you leave a comment on our site you may opt-in to saving your name, email address and website in cookies. These are for your convenience so that you do not have to fill in your details again when you leave another comment. These cookies will last for one year or maybe more.

If you visit our website, you automatically accept all terms and conditions and data collection. This cookie contains no personal data and is discarded when you close your browser.

Privacy policies.
FORMA DESIGN STUDIO cares about your privacy. For this reason, we collect and use personal data only to the extent necessary to provide you with our world-class products, services, websites and mobile applications (collectively, our “Services”). Your personal data includes the following information:

-Birthdate
-Email address
-Other data collected that could identify you directly or indirectly.

Our Privacy Policy aims to explain to you what data we collect and how we collect it, and how and why we use your personal data. It also explains the options we provide to you to access, update, or otherwise have control of your personal data that we process.

Definitions; Conflicts.
Capitalized terms not defined herein shall have the meanings given to them in the Universal Terms of Service Agreement. In the event of a conflict between the provisions of this Agreement and the Universal Terms of Service Agreement, the provisions of this Agreement shall govern.

Changes to our Privacy Policy.
We reserve the right to modify this Privacy Policy at any time. If we decide to change our Privacy Policy or Terms and Conditions, we will post those changes to this Privacy Policy and anywhere else we deem appropriate, so that you are aware of what information we collect, how we use it, and under what circumstances we disclose it, if corresponds. If we make material changes to this Privacy Policy, we will notify you here, by email, or by means of a notice on your home page, at least thirty (30) days prior to implementation of the changes.
